About us and the services offered\n    \n\n1.1 We are Care Preventive AG (\"we\", \"us\", \"care\"), c/o Mikks AG, Zahnradstrasse 22, 8005 Zurich. For\nany questions or concerns, you can reach us at hello@care.me.\n\n\n1.2 The offering comprises medical as well as various non-medical services (together the \"Services\") in\nthe field of preventive treatment. The Services offered are provided either by care or by third-party\nproviders (\"Service Partners\"), in particular partner practices, partner laboratories and partner\npharmacies. The Service Partners act independently and under their own responsibility. care also offers\ntelemedical services as well as digital health and follow-up services. Prescription medication is dispensed\nand delivered exclusively by licensed partner pharmacies. care itself does not manufacture, store or\ndeliver any medication.\n\n    \n1.3  You can use the Services offered individually or via bundled plans or packages (\"Plan\" or \"Packages\").\nYou decide on the scope of the Services and the choice of plan.\n\n1.4 You can find the results of your analyses, and suggestions on how you could improve your health, in\nour mobile app (the \"care App\").\n\n    \n## 2. Subject matter of these Treatment and Terms of Use\n    \n\n2.1 These Treatment and Terms of Use of care (\"care Terms\", \"Terms\", \"Care Terms and Conditions\", \"care\nTerms\", \"Terms of Service\", \"ToS\") govern the legal relationship between you and us when, for example,\nyou register for an appointment or use a Service (you and we are hereinafter jointly referred to as the\n\"Parties\" and each individually as a \"Party\"). When you book an appointment or use a Service, you\nunreservedly agree to the care Terms. \n    \n2.2 The use of the care App is governed by the care App Terms of Use. By using the care App, you\nunreservedly agree to the care App Terms of Use.\n    \n\n## 3. Personal requirements\n    \n\n3.1 The Services are aimed at private individuals and are available to persons who are at least 18 years\nold and have legal capacity. Please note: Our partner pharmacies dispatch medication exclusively to\ndelivery addresses in Switzerland.\n    \n3.2 The Services can of course only be aimed at persons who are suitable for them. The mandatory prerequisite for all Services is therefore that no contraindications exist (see in particular the patient information). We also reserve the right to reject persons in cases where other grounds for exclusion exist.\n    \n3.3 By accepting these care Terms, you confirm that these requirements are met.\n    \n\n## 4. Appointment booking, booking of Services\n    \n\n4.1 To use our Services, you should book them via our website or the care App.\n    \n4.2 The scope and prices of the Services are indicatively shown on our website. We reserve the right to offer new Services at any time and to change or discontinue existing ones.\n    \n4.3 The contract for a Service booked by you comes into effect when we accept your booking, whether through written confirmation of your booking via email, the care App or another form of text, or by processing your partial or full payment.\n\n## 5. Scope of Services\n\n5.1 The duration and scope of the Services are determined by the booking confirmation you receive after booking. Please review the booking confirmation carefully to make sure that the correct Services have been booked. The Services you have booked may change and there is no entitlement to the continuation of individual Services booked by you. We will, however, endeavour to offer an equivalent Service in case of changes.\n\n5.2 You may decide for yourself whether to use all or only part of the booked Services. Services not used expire without replacement or compensation after 12 months. You expressly waive the Services after this period and declare that you have no entitlement to them or to a (partial) refund.\n\n5.3 It may happen that the Services cannot be performed at the planned location. There is generally no entitlement to have a Service performed at a specific location. We will of course try to accommodate your preferences regarding the location to the best of our ability. However, you agree that the Service may be performed at any location of care or a Service Partner, including at several locations. Depending on the offering and the possibilities, individual Services may or will be performed via electronic means of communication.\n\n\n5.4 care offers consultations exclusively by telemedicine. Telemedical Services are not suitable for emergencies or situations in which a physical examination is medically required. care's Services do not replace the care of a general practitioner or any necessary medical examinations or treatments on site. In medical emergencies, contact 144 (medical emergency number) or the nearest emergency department immediately.\n\n5.5 By using telemedical Services, you confirm that you are aware of the particularities and limitations of telemedicine, in particular that (i) a physical examination is not possible, (ii) diagnosis and treatment recommendations are based in particular on your information and the data you submit, (iii) technical\ndisruptions may affect the consultation and (iv) the transmission of health data over the internet entails certain residual risks despite encryption. You also expressly consent to telemedical treatment.\n\n5.6 The availability of prescription medication may depend on regulatory requirements, new medical assessments, supply shortages or availability at partner pharmacies. care does not guarantee uninterrupted availability of any specific medication or treatment.\n\n5.7 Additional services:\n\n5.7.1 Use of the care App is included with the use of a Service and is governed by the care App Terms of Use.\n\n5.7.2 In the event of non-compliance with instructions given by care personnel, care may issue a warning or, at its discretion, exclude you from individual Services without replacement or compensation.\n\n5.7.3 Monthly follow-up consultations and digital interactions via the care App, including chat or messaging functions, serve general treatment support and adherence support. They do not constitute continuous medical monitoring, real-time care or emergency care, nor do they serve as an emergency channel.\n\n## 6. Services of the doctor\n    \n 6.1 The care doctor decides, under their own professional responsibility, in what form your consultation will be carried out. Depending on medical necessity and based on your information and the data submitted, the consultation will be conducted either as a medical video consultation or, if the information submitted is sufficient for a professionally responsible assessment, in the form of a written medical report (asynchronous telemedical assessment). There is no entitlement to a specific form of consultation and, in particular, no entitlement to a video consultation. The doctor may refer you to other care doctors for further care. To ensure a two-way interaction, the doctor may at any time – during the video consultation or via the care platform – ask you questions. There is likewise no entitlement to the issuance of a medical prescription.\n\n    \n6.2  If, after completing the consultation – whether through a medical video consultation or a written medical assessment – the doctor concludes that drug therapy is indicated, the doctor will issue you a prescription entitling you to obtain the medication required for the therapy. The prescription contains the necessary therapy instructions (medication, dosage, administration etc.). The prescription is personal and not transferable. To guarantee free choice of pharmacy, you may choose whether you wish to redeem the therapy at the partner pharmacy or at an (officinal) pharmacy of your choice. For the latter, the doctor will send you the original prescription by post.\n\n    \n6.3 Upon completion of the consultation – whether through the medical video consultation or by issuance of the written medical report – the treatment contract is fulfilled by the doctor. This applies regardless of whether the doctor prescribes a therapy or refers you to another doctor for in-person consultation.\n\n    \n## 7. Services of the partner pharmacy\n    \n\n7.1 The partner pharmacy provides pharmaceutical services by dispensing the prescription issued by the care doctor in accordance with good dispensing practice and pharmaceutical duty of care. Prescriptions issued by other doctors may only be dispensed via the platform with the express consent of care. There is no entitlement to the dispensing of medication. To ensure two-way interaction, the partner pharmacy may ask you questions at any time. The partner pharmacy may forward you and the corresponding medical prescriptions to other partner pharmacies to provide pharmaceutical services or for further care.\n\n    \n7.2  If, after reviewing the medical prescription, the partner pharmacy concludes that dispensing the prescription is pharmaceutically justified, it will dispense the prescribed medication to you. To ensure drug safety, the partner pharmacy reserves the right to limit the delivery quantity or not to deliver individual products.\n\n    \n7.3 The prescribed medication is shipped by Swiss Post or a comparable logistics provider to the delivery address you have specified. In exceptional cases, delivery may be delayed, for example if a medication is out of stock, if the manufacturer cannot deliver it, in the event of disruption or overload at Swiss Post, etc.\n\n7.4 Upon handover of the prescribed medication to Swiss Post (e.g., with Signature or A-Post Plus) or the comparable logistics provider, the partner pharmacy has fulfilled the treatment contract towards you.\n    \n## 8. Services of the partner laboratories\n    \n8.1 The partner laboratories provide laboratory medicine and diagnostic services, in particular sample collection and laboratory analyses, under their own professional responsibility. By using a service of a partner laboratory, you enter into an independent patient relationship with the respective partner laboratory.\n\n    \n8.2 The partner laboratory performs the laboratory medicine services in accordance with recognised professional standards and the respective medical indication. It may refer you to other partner laboratories, partner practices or care doctors for further care or to perform additional analyses.\n\n8.3 You acknowledge that the partner laboratory cannot guarantee the success of an analysis or treatment. The interpretation of findings and any subsequent treatment recommendations are made by the treating care doctor or qualified medical specialists.\n\n8.4 In the context of the cooperation between care and the partner laboratories, the data required for the provision of the Service is exchanged between care and the partner laboratory. By using the Service, you consent to this data exchange that is necessary for the provision of the Service. The details are governed by the Privacy Policy and by the consent form required by the partner laboratory, which is presented to you for confirmation at the time of booking.\n\n8.5 The partner laboratory may also contact you via electronic means of communication (e.g., email). You are aware that such communication may also contain health data.\n\n8.6 Upon transmission of the laboratory findings to care or to the treating care doctor, the partner laboratory has fulfilled its contractual service towards you.\n\n    \n## 9. Costs and payment\n    \n### 9.1 Prices\n\n9.1.1 All Services are in principle subject to a charge, unless a Service is expressly identified as free of charge.\n\n9.1.2 The applicable prices are those communicated to you before booking the Services and shown in your booking confirmation.\n\n9.1.3 As long as we have not confirmed your booking via email, the care App or another form of text, or by processing your partial or full payment, the prices communicated (e.g., orally, in brochures or on the website) are indicative and do not constitute an offer.\n\n### 9.2 Payment\n\n9.2.1 Chargeable Services are generally due in full immediately after the contract is concluded. We will be happy to inform you about the available payment options at one of our locations or if you contact us via email or social media.\n\n9.2.2 You agree to bear in full any fees or other transaction costs that may arise in connection with the transfer.\n\n9.2.3 Payments must be made in Swiss francs (CHF), unless we offer payment in another currency.\n\n9.2.4 If you choose to make your payment via one of our third-party payment providers, those third-party providers are responsible for the security and processing of the transactions.\n\n9.2.5 Where Services are provided as part of a recurring programme or subscription, billing is carried out periodically in accordance with the agreed billing interval. Cancellations must be made before the next billing date for the end of the respective billing interval (to hello@care.me). Medications already delivered will not be taken back or refunded. Subscription fees already paid will only be refunded pro rata if the treatment is discontinued for reasons that are not within your responsibility or if a prescribed medication is not available. In such case, the refund is limited to the portion of the future Services not yet provided.\n\n9.2.6 Any reimbursement by health insurers or other payers is at the sole discretion of the respective insurer. care does not guarantee any reimbursement or cost coverage approval.\n\n\n## 10. Rescheduling and cancellation of appointments\n\n### 10.1 Rescheduling and cancellation of appointments\n    \n10.1.1 Please note that when you have booked appointments, that time is reserved exclusively for you. We understand that there may be times when an unforeseen event occurs and you cannot attend one of your appointments, or cannot attend on time. Should such circumstances arise, please contact us immediately.\n\n10.1.2 You can reschedule or cancel an appointment with us no later than 24 hours in advance. Less than 24 hours before your appointment, it is no longer possible to reschedule the appointment. In this case, your entitlement to the Service agreed for this appointment lapses without any entitlement to compensation or (partial) refund. The same applies if you do not appear at the agreed appointment. As a gesture of goodwill, the treating medical or non-medical personnel may offer a replacement appointment; in this case we reserve the right to charge a reasonable fee corresponding to the value of the respective Service.\n\n10.1.3 It may happen that we also need to reschedule an appointment (e.g., because personnel is unavailable due to illness). In this case, we will arrange a replacement appointment. We may reschedule your appointment at any time and as often as necessary without compensation.\n    \n### 10.2 Late arrival, no-show\n\n10.2.1 If you arrive late for an appointment, your entitlement to the Services generally only exists for the duration of the agreed time.\n10.2.2 If, due to your late arrival, the agreed consultation, analysis or treatment can no longer be carried out, the entitlement to the Service agreed for this appointment lapses without any entitlement to compensation or (partial) refund.\n\n10.2.3 If your late arrival causes additional costs (e.g., because an additional appointment or overtime work of personnel is necessary), you undertake to bear these.\n\n## 11. Your obligations\n\n11.1 You undertake:\n\n11.1.1 to act in good faith and, in particular, to provide truthful and complete information about your person, your health and your physical condition. You are aware that telemedical and pharmaceutical advice depend on the accuracy and completeness of the information you disclose;\n\n11.1.2 to immediately inform the treating care doctor and the partner pharmacy via the care platform of any changes to your state of health during an ongoing treatment;\n\n11.1.3 to provide us with your correct contact details;\n\n11.1.4 to be solvent when ordering the Services;\n\n11.1.5 to immediately report any insolvency arising during the treatment to us;\n\n11.1.6 to follow the instructions of the responsible personnel when using the Services;\n\n11.1.7 to submit to us only such information and documents which you are entitled to share with us;\n\n11.1.8 to carefully read the patient information and any other information made available to you about the Services prior to using them, and to contact us if you have any questions;\n\n11.1.9 to use, store and handle prescribed medication exclusively in accordance with the package leaflet, the medical prescription, the labelling on the medication and the instructions of the treating care doctor and the partner pharmacy. In case of doubt, you undertake to consult the partner pharmacy via the contact channels provided to clarify any questions;\n\n11.1.10 to immediately report any side effects, changes in your state of health or unexpected reactions in connection with prescribed medication to the treating care doctor or the partner pharmacy via the respective contact channels provided. In medical emergencies, contact 144 (medical emergency number) or the nearest emergency department immediately.\n\n11.2 You acknowledge and agree that a telemedical assessment (video consultation or written report) cannot be carried out in all cases and cannot replace a physical visit to a doctor. It is therefore at the discretion of the care doctor to require you to visit a doctor in person if the doctor concludes that further information is needed or that an in-person consultation is indicated. A telemedical assessment (video consultation or written report) via the care platform is not suitable for persons who need medical monitoring on site or who require immediate medical intervention.\n\n11.3 In the event of a breach of these obligations, we are entitled to refuse the Services to you. You also agree to bear the costs we incur as a result.\n \n\n## 12. Your rights if a treatment does not proceed as expected\n    \n\n12.1 We point out to you that we cannot guarantee any success of the treatments, as each person responds individually. In particular, weight loss, metabolic improvements or other health outcomes cannot be guaranteed and may vary significantly between individuals.\n\n12.2 If the treatment does not produce the desired result and you are not satisfied, please contact us so that we can review your concern.\n\n12.3 No claims exist, such as warranty rights (rectification, reduction or similar), if a treatment does not produce the desired result or does not correspond to what you had hoped for.\n\n\n## 13. Risks, side effects\n    \n13.1 The patient information explains how the analyses and treatments are conducted and which risks and side effects may occur. Please read the patient information carefully and ask us any questions you may have.\n\n13.2 By accepting these care Terms, you declare that you have read and fully understood the patient information.\n\n13.3 Suitability for GLP-1 or other prescription treatments is decided exclusively by the treating doctor on the basis of the medical assessment, possible contraindications and the individual state of health. There is no entitlement to the prescription or continuation of a treatment.\n\n13.4 All information regarding GLP-1 medications or other prescription preparations is intended exclusively for the information of persons already undergoing treatment or interested in treatment. A prescription is issued exclusively following individual medical assessment.\n\n13.5 The dosage of prescribed medication may be adjusted, reduced, paused or stopped by the treating doctor at any time, if medically indicated. The treating doctor may also refuse, interrupt or terminate a treatment at any time, if this is medically indicated or required by regulation.\n\n    \n## 14. Disclaimer of liability\n\n14.1 You assure us that you have familiarised yourself with the risks and side effects of the Services and that you make use of the Services (including the activities) voluntarily and at your own risk.\n\n14.2 You declare (including on behalf of your heirs, representatives and authorised agents):\n\n14.2.1 to fully indemnify and hold harmless us, our representatives, agents, employees, other customers and other participants in activities, sponsors, advertisers and, where applicable, owners and lessors of the premises used for the Services (\"Indemnified Parties\") against all claims, liabilities, causes of action, damages, costs or losses arising out of or in connection with our Services (including your participation in activities), whether due to the negligence of the Indemnified Parties or otherwise, to the extent legally permissible;\n\n14.2.2 that the indemnification under section 14.2.1 above applies in particular also in cases where risks or side effects associated with the Service occur and result in damage, or where you do not comply with the instructions of care or the doctor before, during or after an analysis or treatment;\n\n14.2.3 to be responsible yourself for your valuables and personal items (as we cannot guarantee that they will be kept safe), and that we and the Indemnified Parties shall not be liable in the event of loss or damage;\n\n14.2.4 that care is not responsible for Services that are not provided by care but by Service Partners or other third parties (\"Third-Party Services\"), and that you fully indemnify and hold care harmless in this regard. This applies in particular to the issuance of prescriptions, the dispensing and delivery of medication, delivery times, product availability and Services of partner pharmacies and partner laboratories;\n\n14.2.5 to authorise us, our employees and agents, in the event of an injury or medical emergency, to procure medical care, including transport, hospitalisation or other medical measures deemed necessary;\n\n14.2.6 to agree that liability for slight negligence is fully excluded to the extent legally permissible. The exclusion of liability does not apply to personal injury and to damages caused by gross negligence or wilful misconduct on our part or on the part of our auxiliary persons.\n\n## 15. Data protection\n\n15.1 In the Privacy Policy, we inform you about how we process and protect your personal data (including your health data). Please read it carefully and ask us any questions you may have.\n\n15.2 If a Service is provided by a Service Partner or other third parties, you agree that (a) care will share with such Service Partners or other third parties the data collected from you in the context of the provision of the Service, insofar as this is necessary for the provision of the Service by them, and (b) such Service Partners or other third parties will share with care the data collected in the context of their provision of the Service. This includes in particular the transfer of relevant health and prescription data to partner pharmacies and partner laboratories, insofar as this is necessary for the review of prescriptions, the dispensing or delivery of medication or laboratory analysis. The subsequent processing by care is governed by the care Privacy Policy.\n\n15.3 If, for the transmission of your data in accordance with section 15.2, a release from professional secrecy is required, you consent to such a release to the extent referred to in section 15.2.\n\n## 16. Final provisions\n\n### 16.1 Entire agreement\n\n16.1.1 The care Treatment and Terms of Use form the basis for the rights and obligations in connection with the Services we provide.\n\n16.1.2 The Services are subject to your acknowledgement of and agreement to consent forms, patient information, waivers and further information and documents that we provide to you in connection with the provision of the Services, which then form part of the contract with us in their respective current versions.\n16.1.3 The use of the care App is governed by the care App Terms of Use, which form an integral part of the care Treatment and Terms of Use.\n\n### 16.2 Amendments to these Terms\n\n16.2.1 We may amend these care Terms at any time. We will inform you of the change in a suitable manner. As long as you use the care App, you grant us a limited right to use such content, insofar as this is necessary for the provision and further development of the care App or the provision of the Services.\n\n3.2.2 You represent and warrant that your own content or third-party content used by you does not infringe any applicable laws or any intellectual property and protective rights or other proprietary rights of third parties. We are not liable for such content. You are solely responsible for this content and shall fully indemnify and hold us harmless in this respect.\n\n## 4. Usage guidelines\n\n4.1 You undertake:\n\n4.1.1 not to take any action that is likely to infringe our intellectual property rights or expose us to any liability or sanctions;\n\n4.1.2 not to in any way (a) modify or alter the care App (including future versions) or related products (except for the configuration options provided), (b) reverse engineer, disassemble or decompile them, (c) copy or otherwise reproduce them or create derivative works from them;\n\n4.1.3 not to alter or remove any markings or copyright notices on the care App under any circumstances;\n\n4.1.4 not to manipulate the care App or its underlying infrastructure;\n\n4.1.5 not to use the care App for illegal, unfair or offensive purposes;\n\n4.1.6 not to distribute via the care App any viruses, trojan horses or other malicious code;\n\n4.1.7 not to scrape the care App by means of automated scripts/queries; and\n\n4.1.8 not to circumvent or attempt to circumvent any technical restrictions or limitations of the care App.\n\n4.2 By using the care App, you also have access to care's Virtual Assistant. Please carefully and fully familiarise yourself with the Virtual Assistant Terms of Use (\"VA Terms and Conditions\", \"VA Terms\") before using it. By using the Virtual Assistant, you unreservedly agree to the VA Terms and knowingly accept the associated risks.\n\n4.3 As a user of the care App, you are responsible for maintaining the confidentiality of your login information. You explicitly undertake not to share your login information with any other person. The login information may only be used by the person to whom it has been assigned. We reserve the right to suspend access to the care App in whole or in part, at our discretion, if we suspect misuse of the login information.\n\n## 5. Warranty and liability\n\n5.1 We endeavour to ensure that the care App is available as continuously as possible and that it functions without errors, but we cannot guarantee this. We provide the care App as it is (\"as is\" and \"as available\"). Any warranty claims are, to the extent legally permissible, expressly excluded.\n\n5.2 Our liability for any kind of damages, including but not limited to direct or indirect damages, incidental or consequential damages, financial losses, third-party recourse claims, lost profits, decrease in goodwill, loss of revenue or data, in connection with the use of the care App, is excluded to the extent legally permissible.\n\n## 6.
